User License Agreement
This User License Agreement (the "Agreement") is made and entered into by and between Medi Dev (referred to as "we", "our", or "the Company") and you, the user (referred to as "User" or "you"), of our website located at https://medical.datadev.co.za. By accessing or using the Website, you agree to be bound by the terms of this Agreement. If you do not agree with any part of this Agreement, please refrain from using the Website.
1. Grant of License
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to access and use the Website for the purpose of searching for and selecting medical products, manually adding prescriptions for patients, and generating digital prescription prints ("Scripts") for patients.
2. User Account
To access all features of the Website, you are required to create an account using a provided username and valid password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account or any other breach of security.
3. Use of Scripts
The Scripts generated through the Website are stored and viewable only for specific patients identified by name. You agree not to share, distribute, or provide access to any version of the code, data, or software used to generate these Scripts.
4. Ownership
You acknowledge that all intellectual property rights in the Website and its content, including but not limited to the software, design, text, graphics, and databases, remain with the Company or its licensors. No right, title, or interest in or to the Website, the software, or any other content is transferred to you under this Agreement.
5. Limitation of Liability
The Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from or related to any errors, omissions, or inaccuracies in the Scripts or any medical product information provided through the Website. This includes, without limitation, damages arising from any reliance on the content or errors in medical information. You acknowledge that all clinical decisions remain the responsibility of qualified medical professionals and that use of this Website is at your own risk.
6. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of your use of the Website or your violation of this Agreement.
7. Modification of Agreement
We reserve the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website after such changes constitutes your acceptance of the revised Agreement.
